Che il diritto e le istituzioni giuridiche siano artefatti umani, ovvero entità da noi costruite per determinate finalità, sembra essere una tesi al limite del banale. Eppure, pochi teorici del diritto hanno preso questa tesi sul serio, analizzando cosa significhi dire che qualcosa è un artefatto e chiedendosi se da ciò possiamo trarre delle conclusioni in grado di illuminare la nostra concezione del diritto e della pratica giuridica. Cosa rende tale un artefatto? L'intenzione del creatore, la sua funzione o piuttosto la sua storia? E cosa rende un'istituzione un artefatto? Il fatto che essa è stata creata da un potere dotato di autorità giuridica? Oppure il fatto che essa ha una funzione? O, ancora, il fatto che essa ha sempre una genesi ed un'evoluzione che la può cambiare anche in modo essenziale? La tesi al fondo di questo libro è che, se spieghiamo la natura delle istituzioni giuridiche alla luce degli altri artefatti che popolano il nostro mondo, possiamo fornire nuove prospettive su problemi centrali per la filosofia e teoria generale del diritto.

I fenomeni istituzionali consistono di regole, esistono in virtù di regole, per certi versi impongono la conoscenza di regole. Regole sono alla base di molti dei nostri discorsi ed attività: quando ci chiediamo come formulare un contratto, quando discutiamo sulla migliore riforma del lavoro o quando valutiamo la pagella scolastica dei nostri figli. Ma com'è possibile che un intero dominio della realtà sociale, con il quale quotidianamente dobbiamo misurarci, sia costituito tramite regole? Come possono delle regole creare qualcosa, essere cioè regole costitutive? E un problema ontologico: di ontologia delle istituzioni. Questo volume si interroga sulla possibilità, la natura e le modalità del processo con cui i più diversi fenomeni istituzionali vengono costituiti tramite regole. Esso si sofferma sulla peculiare realtà delle regole costitutive: se ad esempio si tratti di stati mentali, contenuti testuali, atti autoritativi, o semplici condizioni logiche. Ma esso affronta anche il modo in cui regole costitutive creano concetti istituzionali: quale sia il contenuto semantico di tali concetti, la natura delle loro mutue relazioni, il ruolo del contesto nella loro formazione.
